According to the terms of the merger agreement, the equity securities of XiMaLaYa held by relevant XiMaLaYa shareholders and participants in XiMaLaYa's employee stock ownership plan have been cancelled in exchange for merger consideration. This consideration includes a total maximum of $1.26 billion in cash and up to a total of 175 million Tencent Music A-class ordinary shares. Upon completion of the acquisition, XiMaLaYa has become a wholly owned subsidiary of Tencent Music.
