US Capital Research Raises Metaplanet Voting Stake to 10.63%

US Capital Research has regained major-shareholder status at Metaplanet after increasing its voting interest above Japan’s closely watched 10% ownership threshold.

According to Metaplanet’s July 21 disclosure, the investment manager held 136,059,120 shares and 1,360,591 voting rights as of July 13. Consequently, its voting stake reached 10.63%.

The latest position marked a clear increase from March 31, when the manager held 118,650,420 shares and 1,186,504 voting rights. At that time, its stake stood at 9.32%.

Therefore, the updated figures indicate that US Capital Research added 17,408,700 shares and gained 174,087 voting rights during the period.

Although it remained Metaplanet’s largest shareholder in March, the firm was no longer officially classified as a major shareholder. Its voting interest had fallen below 10%.

That decline did not result from a reported share sale. Instead, a third-party share allotment diluted its voting ratio from 10.18% to 9.32%.

However, the amended large-shareholding report now places the manager above the threshold again. The filing also confirms its position as the company’s largest investor.

Even so, Metaplanet said it had not independently verified the beneficial owner or the precise total of voting rights. The calculation also excluded 5,902,500 Class B preferred shares.

Capital Research and Management Company operates as an SEC-registered investment adviser and a wholly owned Capital Group subsidiary. At press time, Capital Group reports more than $3.3 trillion under management.

The manager first crossed Japan’s 5% disclosure threshold in January 2025. Since then, its position has continued expanding, with the latest 10.63% stake reaching more than twice the initially reported level.

Meanwhile, Metaplanet has continued issuing shares to finance its expanding Bitcoin treasury. Such issuances can alter ownership percentages even when investors retain their existing shares.

On July 2, the company acquired 2,823 BTC for approximately $170.7 million. The purchase increased its total holdings to 43,000 BTC. That balance made Metaplanet the third-largest publicly traded corporate Bitcoin holder. It targets 100,000 BTC by the end of 2026 and 210,000 BTC by 2027.

Accordingly, US Capital Research now holds meaningful voting influence without controlling the company. Shareholders will continue tracking Bitcoin growth alongside changes in diluted share ownership.
