- Warrants allow purchases of Class A shares equal to USD 500,000 divided by the prior day’s VWAP, priced at 150% of the note’s initial fixed conversion price.
- A registration rights agreement requires filing a resale registration statement within 15 business days covering shares from note conversions and warrant exercises.
