- Transaction calls for selling 100% of Lifeline Cell Technology membership interests to ATCC for USD 25 million, subject to working-capital, cash, debt adjustments.
- ATCC to pay cash at closing, withholding USD 2.5 million for an indemnity escrow, USD 100,000 for an adjustment escrow.
- Board also authorized execution of the purchase agreement and related documents, submitting the deal for stockholder approval by written consent.
