Questor Technology signs LOI to buy Emission Rx for up to C$3 million
Reuters2026/08/20 22:33- Questor Technology entered a non-binding LOI to acquire Emission Rx, a Calgary-based waste gas combustion service company.
- Total consideration up to about CAD 3 million, including CAD 500,000 cash at closing, CAD 500,000 deferred cash, 3,333,333 shares, earn-out up to CAD 1 million.
- Deal would add field service support, access to fabrication capacity via Emission Rx’s AeroTech relationship, cross-selling via an installed base of 800+ units.
- Closing targeted on or before Oct. 1, 2026, subject to due diligence, TSX Venture Exchange acceptance, and required consents.
- Transaction would resolve litigation between the businesses at closing; LOI ends if a majority of current directors are not re-elected Sept. 9, 2026.
