GE Aerospace announced on Tuesday that it has agreed to acquire Consolidated Precision Products for $11.75 billion, expanding its control over the supply of specialized castings for commercial aircraft engines, military equipment, and industrial gas turbines.

According to Zhihui Finance APP, after the split, General Electric, the US industrial giant, has left a legal entity and core aerospace assets, GE Aerospace (GE.US). On Tuesday local time, the company announced it has agreed to acquire Consolidated Precision Products (hereinafter referred to as "CPP") for $11.75 billion, expanding its comprehensive control over the supply chain of specialty precision castings for use in commercial aircraft engine systems, military aerospace equipment, and industrial gas turbines.

This aerospace industrial manufacturer will acquire CPP from private equity investment firms Warburg Pincus and Berkshire Partners. GE Aerospace plans to fund the acquisition with $7 billion in cash, while the remaining portion will be financed through additional debt.

Headquartered in Cleveland, USA, CPP manufactures complex industrial system components using high-temperature alloys, titanium, aluminum, magnesium, and steel. Its precision castings and precision subassemblies are mainly used in the manufacturing systems of commercial and military aircraft, military weapons systems, helicopters, business jets, and large gas power generation equipment. CPP has more than 20 facilities worldwide and employs about 6,600 staff. GE Aerospace has been sourcing parts from CPP for more than 15 years.

This $11.75 billion, roughly $12 billion, acquisition fundamentally aims to transform key supply bottlenecks of aircraft engines into a manufacturing capability controllable by GE Aerospace itself. In Q2 2026, GE Aerospace’s commercial engine and services business engine deliveries increased 26% year-on-year, service revenue also rose 26%, and new engine production and maintenance of the existing fleet are simultaneously competing for component supply. Integrating CPP into the group is expected to enhance casting production, quality management, and coordination with engine design, thus improving delivery reliability and supporting mass production of next-generation engine technologies.

The deal comes at a time when aircraft engine manufacturers face strong demand for new equipment and replacement parts while trying to cope with supply chain constraints. By bringing a major casting supplier in-house, GE Aerospace may boost output, improve quality control, and introduce new engine technologies more quickly.

For investors, in an environment where engine deliveries and aftermarket growth partially rely on highly specialized component supply, this deal represents a major bet on vertical integration. GE Aerospace expects the acquisition to be accretive to adjusted earnings per share and free cash flow in the first year post-acquisition. However, the relatively high acquisition valuation, new debt, and a lengthy waiting period before closing all pose risks for valuation, financing, and integration.

Including expected net synergies, GE Aerospace is valuing CPP at approximately 18 times its anticipated 2027 EBITDA. Excluding these benefits, the valuation reaches about 26 times EBITDA. Therefore, the ability to achieve cost savings and operational improvements is crucial to the financial returns of this transaction.

The company plans to apply its lean operating system, called FLIGHT DECK, to CPP's operations. GE Aerospace expects this merger to increase manufacturing capacity, enhance production reliability, and strengthen coordination between parts design and manufacturing.

Management stated that although this acquisition will use cash and increase debt, the deal will not alter GE Aerospace’s existing capital allocation plans.

The two companies expect the acquisition to complete in the second half of 2027, subject to regulatory approvals and customary closing conditions.

From Outsourcing Parts to Mastering Capacity

The core significance of this $11.75 billion, roughly $12 billion, acquisition is undoubtedly to transform the key supply bottleneck of aircraft engines into a manufacturing capability controllable by GE Aerospace itself.

GE Aerospace’s bold move to spend nearly $12 billion to acquire Cleveland-headquartered CPP demonstrates that for the aircraft engine supply chain, mature manufacturing processes, customer certifications, and the ability to provide stable bulk deliveries mean that precision casting suppliers are becoming a key strategic resource for engine makers to ease supply bottlenecks, expand production, and fulfill orders.

Regarding space exploration and NASA’s defense space infrastructure, the broader impact of this transaction on the commercial aerospace industry chain mainly lies in upstream precision manufacturing capabilities. CPP masters complex high-temperature alloy and titanium alloy casting technologies, and such precision casting applications also exist in parts like liquid rocket engine turbopump housings, so its material and process expertise have the potential to extend into aerospace equipment. Accordingly, production expansion and process improvements may strengthen related supply capabilities, but entry into specific rocket projects still depends on customer certification and product validation. The disclosed acquisition focus remains on commercial aircraft, defense, and industrial gas turbines, so it is not yet possible to confirm any related revenue from new commercial space exploration efforts.

Both GE Aerospace and GE Vernova (GEV.US) originated from the former US industrial giant General Electric but are now independent publicly listed companies. The original General Electric spun off GE Healthcare (GEHC.US) in January 2023 and then split off the energy business GE Vernova on April 2, 2024. After completion of these splits, the retained parent company officially transformed into GE Aerospace (i.e., GE Aerospace), continuing to use the NYSE symbol "GE".

The businesses and investment logic of these offshoots from General Electric have now completely diverged. GE Aerospace is focused on commercial and military aircraft engines, parts, and maintenance services, with profit centered on strong aftermarket cash flow generated by the large installed base; GE Vernova continues the original GE’s businesses in gas power, wind power, grids, and electrification. Gas turbines, which are currently in extreme short supply for global AI data center construction, are among its key businesses, with its valuation driven by global electricity demand, AI data center build-out, gas power expansion, and grid upgrades.

The biggest difference between GE Aerospace and the former General Electric is that its business has shrunk from a diversified industrial conglomerate to a pure-play aerospace company. The original GE once spanned aviation engines, gas power, wind power, electrical grids, medical devices, and finance, among other fields.
