- Pricing will reference an independent valuation report; any price below the Aug. 12, 2026 close would be justified using market and valuation factors.
- The acquirer targets 51% ownership, or 1,781,876,250 shares; EIP would fall to 31.26%, or 1,092,136,050 shares.
- Fujian Youjia cited plans to use Ekadharma’s overseas base to build Southeast Asia production capacity for its YOURGRAND brand.
- Management expects no change in core business or dividend policy; Fujian plans to add mid-to-senior managers while keeping the existing team stable.
