- Exercise price set at 200% of the per-share purchase price for half the warrant shares, 250% for the remainder.
- Warrants permit cashless exercise using a VWAP or bid-price formula.
- Any unexercised warrants will be automatically cashlessly exercised on the termination date.
- Exercises are capped to keep beneficial ownership at or below 9.99%, subject to a 61-day notice for increases.
