- The contributed digital assets would be valued at no less than USD 130 million, subject to Fathom due diligence.
- Consideration would be newly issued Fathom shares, with Neighborhood expected to hold a controlling stake post-transaction.
- The original terms calling for 0.2236 NXH shares per Fathom share would be terminated upon signing definitive documents.
