Proem Acquisition Corp I to merge with satellite maker Astro Digital in deal valuing company at USD 587 million
Bitget2026/09/28 12:05- Astro Digital agreed to merge with Proem Acquisition Corp I, taking the satellite maker public on Nasdaq as Astro Digital Holdings.
- Deal values Astro Digital at about USD 587 million on a pro forma post-money enterprise value basis.
- Up to about USD 180 million of gross proceeds includes up to USD 130 million from Proem’s trust and about USD 50 million PIPE.
- Proem Asset Management and affiliates committed USD 25 million of the PIPE, co-led with Leon Capital Group.
- Closing is expected in the first quarter of 2027, subject to customary conditions including a USD 30 million minimum cash condition.
