Cunico Metals Files Preliminary Prospectus for Initial Public Offering

02:31 PM EDT, 09/28/2026 (MT Newswires) -- Cunico Metals filed a preliminary base PREP prospectus for the proposed initial public offering of hard-dollar units, flow-through units, and charity flow-through units, it said Monday. The preliminary prospectus was filed with the securities regulatory authorities in each of the provinces and territories of Canada, excluding Quebec, said the company. The number of units that the company will offer and the associated offering prices will be determined in the "context of the market," said the company. Each unit will be made up of a share in the capital of the company and one-half of a warrant, said the company. Each flow-through (FT) unit and charity flow-through (CFT) unit will include a flow-through share and one-half of a warrant, it added. Each whole warrant will entitle the holder to buy, subject to adjustment in certain circumstances, a share at an exercise price to be determined in the context of the market, for a period of three years following the closing date of the offering, said Cunico Metals. The company plans to apply to list its common shares, including the unit shares, warrant shares and the common shares underlying the FT units and CFT units to be distributed under the offering, on the TSX Venture Exchange, in connection with the offering, it said. Listing is subject to the approval of the TSXV and closing of the offering is conditional upon the shares being approved for listing on the TSXV, among others, it added.
