Update: AAR to Pay $1.8 Billion for 65% Stake in MRO Holdings

AAR (AIR) said late Monday it has entered into a definitive agreement to acquire a 65% stake in privately held aircraft-maintenance company MRO Holdings for an equity value of approximately $1.8 billion. As part of this initial transaction, AAR will also repay approximately $1.3 billion of MRO Holdings' current borrowings, the company said. AAR said it expects to finance the transaction and related expenses through nearly $2.1 billion of new debt, about $780 million of equity issued at $135 per share to existing MRO shareholders, and approximately $230 million of proceeds from a private investment in public equity offering. AAR will have an option to buy the remaining 35% interest in MRO within six years, the company said. The deal is expected to help AAR expand margins, with EBITDA margins targeted at 20% within three to four years. Shares of AAR rose 6% in after-hours trading.
