Hypercharge Networks to Buy REVS Charging for $4.8 Million

12:48 PM EDT, 09/29/2026 (MT Newswires) -- Hypercharge Networks (HC.V) agreed to buy 100% of the equity interests of Texas-based provider of electric vehicle charging solutions, REVS Charging LLC for $4.8 million, it said in a statement on Tuesday. The deal payment combines limited upfront cash consideration, common shares issued at CA$0.23 per common share, and deferred consideration tied to REVS achieving future gross profit milestones. The company provided REVS with an interim secured loan of $200,000 during the exclusivity period under the letter of intent, signed May 27, to support REVS' ongoing operations, it said. Closing of the deal is expected on Oct. 1, subject to customary closing conditions and approvals. REVS Founder and Chief Executive Officer David Aaronson will join the company as president of Hypercharge Networks Inc., Hypercharge's US unit, upon closing. Shares of the company were last seen unchanged at CA$0.085 on the TSX Venture Exchange.
