- Package includes a USD 20 billion three-year delayed-draw term loan led by Citibank as administrative agent.
- Revolving facilities total USD 10 billion, comprising a USD 8 billion five-year revolver and a USD 2 billion 364-day revolver.
- New revolvers replace a USD 5 billion revolver due 2028, terminated with no borrowings outstanding or early termination penalties.
- Credit agreements require at least USD 5 billion of consolidated liquidity; no loans were outstanding under the new facilities at signing.
