Ripple Labs submitted a formal comment letter to the U.S. Securities and Exchange Commission on October 20, 2026, expressing full support for the agency’s proposed Regulation Crypto Assets and urging its adoption as a final rule.

The filing arrived on the last day of the official comment period for Release Nos. 33-11434 and 34-106150 (File No. S7-2026-27).

In the letter, signed by Chief Legal Officer Stuart Alderoty, General Counsel Sameer Dhond, and Deputy General Counsel Deborah McCrimmon, Ripple stated they’re “fully supports the Commission’s efforts to provide a regulatory framework for crypto assets, and urges the Commission to adopt the Proposal in a final rule.”

Ripple noted that the proposal builds on the SEC and CFTC’s joint interpretation of existing securities law, which is anchored in the Howey investment-contract test.

Key Points From The Latest Filing

Ripple argued that an investment contract involving a crypto asset does not automatically convert the underlying token into a security.

Jurisdiction follows the life of the investment contract itself—driven by the issuer’s promises and representations—rather than a permanent securities status attached to the token or a standalone decentralization test.

The company also incorporated by reference its earlier letters to the SEC Crypto Task Force from 2025 and 2026.

Alderoty has publicly noted that Ripple spent more than $150 million on its prior legal dispute with the SEC to obtain clarity on XRP.

Ripple’s comment letter to the SEC frames the proposed framework as a way to replace years of case-by-case enforcement with clearer, durable rules grounded in existing law, potentially supporting capital formation and reducing the incentive for innovation to move offshore.

Ripple supports the overall direction while seeking targeted refinements, including clearer treatment of Form TR filings so that such submissions do not automatically constitute an admission of prior securities status or violations.

The formal comment period closed on October 20, though the Commission has indicated it will continue accepting public feedback. The letter adds a major industry voice to the record as the agency weighs whether to finalize the framework.
